Heavy Haul Group is a service and commercial operating division of FREIGHTX LOGISTICS LLC ("Company", "we", "us", or "our"). These Terms and Conditions constitute a legally binding agreement made between you whether personally or on behalf of an entity ("Customer", "Shipper", "Consignee", "Motor Carrier", or "User") and FREIGHTX LOGISTICS LLC, governing your access to and use of our website, rate calculators, load boards, dispatch portals, and freight brokerage operations.

By visiting our website, requesting shipping rate estimates, submitting load tenders, signing Rate Confirmations, or executing transportation services arranged by us, you explicitly confirm that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are expressly prohibited from using the site or engaging our services, and you must discontinue use immediately.

By submitting your telephone number or contact information through our quote request forms, carrier onboarding portals, or contact widgets, you provide express written consent for FREIGHTX LOGISTICS LLC and its operating divisions (including Heavy Haul Group) to contact you via phone, automated messaging, and text messaging (SMS/MMS) for transactional and operational purposes.

Operational communications include, but are not limited to: rate quotes, load availability, driver check-calls, state DOT route permit updates, escort team coordination, delivery confirmations, and invoicing follow-ups. Standard message and data rates may apply depending on your mobile carrier.

Licensed Property Broker Status: Heavy Haul Group is a service of FREIGHTX LOGISTICS LLC, operating as a licensed property broker under FMCSA authority MC 1646578 and USDOT# 4248747 pursuant to 49 U.S.C. § 13102(2). Our sole function is to arrange and broker freight transportation by negotiating with and selecting licensed independent third-party motor carriers to transport customer freight.

Independent Carrier Status: FREIGHTX LOGISTICS LLC is not a direct motor carrier, freight forwarder, or owner of transportation equipment. We do not take physical custody, possession, or control of cargo, nor do we employ truck drivers, pilot car operators, or rigging crews. All freight transportation is executed by independent motor carriers holding active FMCSA operating authority, required statutory insurance coverage, and satisfactory safety ratings.

Heavy Haul & Specialized Freight Responsibilities

For oversize, overweight, superload, or specialized equipment shipments (including Lowboy, RGN, Multi-Axle, Step Deck, and Extendable Trailers), the Shipper is strictly responsible for providing precise, accurate cargo specifications including exact overall dimensions (length, width, height), net/gross weight, axle loading requirements, center of gravity, and lifting points.

Inaccurate weight or dimension disclosures provided by the Shipper that result in state DOT permit invalidation, route delays, utility line clearances, police escort cancellations, or bridge weight fines shall be billed directly to the Shipper's account.

Rate Quotes & Estimates: All rate estimates generated by website tools, email exchanges, or verbal communications are non-binding estimates until confirmed in writing via an executed Rate Confirmation or Broker-Shipper Agreement. Standard rate quotes are valid for seven (7) calendar days from issuance and assume legal dimensions unless oversize parameters are explicitly detailed.

State Permits & Escort Contingencies: Heavy haul quotes are contingent upon state Department of Transportation (DOT) permit issuance, route survey approvals, curfew restrictions, bucket truck support, and civilian/police escort availability. Any rate adjustments required by state DOT route alterations prior to dispatch will be passed through to the customer at cost.

Cancellation & Truck-Ordered-Not-Used (TONU) Policy

If a shipment is canceled or modified after a motor carrier has been dispatched, or after state DOT permits have been ordered, the Customer shall be liable for:

• A standard Truck-Ordered-Not-Used (TONU) fee ranging from $250.00 to $1,500.00, depending on equipment class and distance traveled by carrier.
• Full reimbursement for non-refundable state DOT route permits, local municipal permits, and engineering bridge surveys already purchased.
• Cancellation charges incurred for pre-booked civilian pilot escort vehicles (PVOs) or state police escorts.

Payment Obligations: Invoices are payable in advance of dispatch unless commercial credit terms have been formally extended by FREIGHTX LOGISTICS LLC following a credit application review. Approved commercial accounts must remit full payment within Net 15 or Net 30 days from the invoice date.

Accessorial Charges & Detention: Shippers and Consignees are jointly responsible for accessorial charges including driver detention beyond two (2) free loading/unloading hours, layovers, re-consignment, site unreadiness, crane delays, and lumper charges.

Late Interest & Collection Costs: Past-due balances shall accrue interest at a rate of 1.5% per month (18% per annum) or the maximum legal rate allowed under New York law. Customer agrees to reimburse FREIGHTX LOGISTICS LLC for all legal fees, collection agency commissions, and court costs incurred to collect unpaid balances.

Platform Security & Prohibited Conduct

When accessing our website or digital systems, you agree not to:

• Use automated web crawlers, scrapers, data mining tools, or bots to harvest freight rates, carrier databases, or proprietary site content.
• Attempt to bypass, disable, or tamper with website security features, dispatch software, or rate calculator algorithms.
• Tender undeclared hazardous materials, dangerous goods, or illegal contraband without prior written agreement and full regulatory disclosure.
• Reverse engineer, decompile, or copy any software tools or interface designs belonging to FREIGHTX LOGISTICS LLC.

Carrier Liability under Carmack Amendment: Direct legal liability for cargo damage, physical loss, shortage, or transit delay rests entirely with the dispatched motor carrier under federal law (the Carmack Amendment, 49 U.S.C. § 14706) and the motor carrier's Bill of Lading.

Broker Non-Liability: As a licensed property broker, FREIGHTX LOGISTICS LLC does not assume cargo owner liability and is not an insurer of cargo. FREIGHTX LOGISTICS LLC shall not be liable for cargo loss, damage, theft, or delay unless caused directly by our gross negligence or intentional misconduct. In all events, FREIGHTX LOGISTICS LLC's maximum liability for any transaction shall not exceed the net brokerage margin earned on the specific shipment.

Cargo Claim Documentation Requirements

To facilitate claim handling with the carrier’s insurance underwriter, the claimant must provide:

• The original Bill of Lading with clear, explicit damage or shortage notations signed by the consignee upon delivery.
• High-resolution photographic evidence of cargo damage, equipment tie-downs, and packaging.
• Original commercial purchase invoice establishing cargo cost value and certified repair/salvage estimates.

"As-Is" Service Disclaimer

This website, its online rate calculators, route planning guides, articles, and platform tools are provided on an "AS IS" and "AS AVAILABLE" basis. FREIGHTX LOGISTICS LLC makes no representations or warranties of any kind, express or implied, as to the operation of the website or the accuracy of rate estimates.

To the fullest extent permitted by applicable law, FREIGHTX LOGISTICS LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular heavy haul purpose, title, and non-infringement.

Exclusion of Consequential & Special Damages

Under no circumstances shall FREIGHTX LOGISTICS LLC, Heavy Haul Group, or their respective members, officers, managers, employees, or agents be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from site usage or logistics services.

This exclusion strictly covers, without limitation: loss of business profits, plant downtime, crane rental standby costs, jobsite delay penalties, lost production, loss of corporate reputation, or supply chain disruption fees, even if advised in advance of the possibility of such damages.

New York State Choice of Law

These Terms and Conditions, all website usage, and all freight brokerage agreements entered into by FREIGHTX LOGISTICS LLC (including Heavy Haul Group) shall be governed by, construed, and enforced in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of law.

Exclusive Venue in Kings County, NY

You expressly agree that exclusive jurisdiction and venue for any legal action, lawsuit, or judicial proceeding arising out of or relating to these Terms, website usage, or freight brokerage arrangements shall lie solely in the State Courts located in Kings County, New York (Brooklyn, NY) or the United States District Court for the Eastern District of New York. You hereby consent and submit to the personal jurisdiction of such courts.

Force Majeure & Highway Closures

Neither party shall be liable for delays or failure in performance resulting from acts beyond reasonable control, including acts of God, extreme weather, state highway closures, emergency bridge weight restrictions, civil unrest, strikes, government permit freezes, or national emergencies.

Your privacy and data security are paramount to us. All personal details, shipment data, corporate billing details, and phone numbers submitted through this website are processed in strict compliance with our Privacy Policy.

By agreeing to these Terms and Conditions, you acknowledge that you have reviewed and consented to our Privacy Policy, which is incorporated herein by reference.

All content on this website including text, graphics, logos, icons, button designs, image assets, equipment specification charts, digital tools, software code, and overall site layout is the exclusive property of FREIGHTX LOGISTICS LLC or its licensors and is protected under United States and international copyright, trademark, and trade dress laws.
